FORM OF ACCEPTANCE AND CANCELLATION OF SYNERGIS SHARE OPTIONS
THIS FORM OF ACCEPTANCE AND CANCELLATION IS IMPORTANT AND REQUIRES YOUR
IMMEDIATE ATTENTION. If you are in any doubt as to any aspect of this Form of Acceptance and Cancellation
or as to the action to be taken, you should consult your licensed securities dealer or registered institution in
securities, bank manager, solicitor, professional accountant or other professional adviser.
This Form of Acceptance and Cancellation should be read in conjunction with the Composite Document. The
provisions of Appendix I to the Composite Document are incorporated into and form part of this Form of Acceptance
and Cancellation.
To accept the Option Offer made by Quam Securities on behalf of HCCG, you should complete and sign this Form
of Acceptance and Cancellation and forward this form by post or by hand to Synergis at 3rd Floor, Hsin Chong
Center, 107–109 Wai Yip Street, Kwun Tong, Kowloon, Hong Kong, marked “Synergis Option Offer" on the
envelope, as soon as practicable and in any event so as to reach Synergis at the aforesaid address by no later than
4:00 p.m. on Friday, 26 September 2008 (or such later time HCCG may decide in accordance with the Takeovers
Code). No acknowledgement of receipt of any Form of Acceptance and Cancellation to the Synergis Optionholder(s)
in respect of the Synergis Share Option(s) will be given.

Form of Acceptance and Cancellation of Share Options
To: Synergis, Quam Securities and HCCG
1. My execution of this Form of Acceptance and Cancellation shall constitute:
(a) my irrevocable acceptance of the Option Offer made by Quam Securities on behalf of HCCG, as contained in the
Composite Document, for the consideration and on and subject to the terms and conditions therein and herein mentioned,
in respect of the number of Synergis Share Option(s) specified in this Form of Acceptance and Cancellation or, if no
such number is specified or a number in excess of the outstanding Synergis Share Option(s) granted to me is specified,
I shall be deemed to have accepted the Option Offer in respect of my entire holding of Synergis Share Option(s);
(b) (i) my undertaking not to exercise, transfer or discharge any of my holding of Synergis Share Option(s) or attempt to
do so and (ii) my undertaking to execute such further documents and to do such acts and things by way of further
assurance as may be necessary or desirable to cancel my Synergis Share Option(s) tendered for cancellation under the
Option Offer;
(c) my irrevocable instruction and authority to HCCG and/or Quam Securities or their respective agent(s) to send a cheque
crossed "Not negotiable – account payee only" drawn in my favour for the cash consideration to which I shall have
become entitled under the terms of the Option Offer by ordinary post at my own risk to the person and the address
stated below or, if no name and address is stated below, such cheque will be sent to Synergis’ Hong Kong principal
place of business at 3rd Floor, Hsin Chong Center, 107–109 Wai Yip Street, Kwun Tong, Kowloon, Hong Kong for my
collection within 10 days of the date of the receipt of all the relevant documents by Synergis to render the acceptance
under the Option Offer complete and valid.

(d) my irrevocable instruction and authority to HCCG and/or Quam Securities or such person or persons as they may

(e) my agreement to ratify each and every act or thing which may be done or effected by HCCG and/or Quam Securities or
their respective agents or such person or persons as it/they may direct on the exercise of any of the authorities
contained herein.
2. I understand that my acceptance of the Option Offer will constitute a warranty by me to HCCG that the Synergis Share
Option(s) specified in this Form of Acceptance and Cancellation is/are free from all liens, charges, options, claims, equities,
adverse interests, third party rights or encumbrances whatsoever and renounced together with all rights accruing or attaching
thereto as at 19 June 2008 or subsequently becoming attached to them.
3. In the event that my acceptance is not valid, or is treated as invalid, in accordance with the terms of the Option Offer, all
instructions, authorisations and undertakings contained in paragraph 1 above shall cease.
4. I understand that no acknowledgement of receipt of any Form(s) of Acceptance and Cancellation will be given.

(a) 本人就本接纳及注销表格上所注明之新昌管理购股权数目，按综合文件及本接纳及注销表格所述代价按照并遵
守当中所述条款及条件，不可撤销地接纳综合文件所载由华富嘉洛证券代表新昌营造提出之购股权收购建议，
或如未有注明数目或注明之数目超过本人获授之尚未行使新昌管理购股权，则本人将被视为就名下全部新昌管
理购股权接纳购股权收购建议；
(b) (i)本人承诺不行使、转让或解除本人持有之任何新昌管理购股权或不拟行使、转让或解除有关购股权及(ii)本人
承诺于必需或合宜时签署有关其他文件及办理有关其他手续及事项，以注销本人根据购股权收购建议提交以供
注销之新昌管理购股权；
(c) 本人不可撤销地指示及授权新昌营造及╱或华富嘉洛证券或彼等各自之代理人，于新昌管理接获所有有关文件
以令根据购股权收购建议接纳完整及有效之日十日内，将本人根据购股权收购建议之条款应得之现金代价以 「不
得转让－只准入抬头人账户」方式向本人开出划线支票，然后以平邮方式寄予下文所列人士及地址，邮误风险
概由本人自行承担。或如未有于下栏列明姓名及地址，该支票则寄往新昌管理之香港主要营业地点香港九龙观
塘伟业街107 －109号新昌中心三楼以供本人领取。

带任何形式之留置权、押记、期权、申索权、衡平权、不利权益、第三方权利或产权负担，并将会连同于二零零八年六月
十九日累积或附有或随后所附有之一切权利一并放弃。
3. 倘按购股权收购建议之条款本人之接纳属无效或被视为无效，则上文第1段所载之所有指示、授权及承诺均会失效。
